Mergers and Acquisitions

What We Offer

Our Expertise

Business operations are in consistent flux, especially when the said operations are going through growth. Asset acquisition is oftentimes necessary to be able to support the company’s growth. This can be accomplished either by accepting additional capital from investors, or acquiring other companies that own assets vital for growth. Either way, it is important that these activities be performed as precisely as possible to avoid any legal issues and/or disputes down the line. To that end, we offer preparation and/or review of investment documents such as term sheets, shareholders’ agreements, and share subscription agreements, assistance with due diligence review, conduct of due diligence review, corporate housekeeping, transaction structuring, preparation of stock option plans and phantom stock option plans, assistance with setting up legal entities in other jurisdictions, and other similar services. We help ensure that our partners are not overly burdened with obligations in these transactions, and that the resulting entity is fully compliant with prevailing laws and rules in every jurisdiction affected by their transactions.
